The successful candidate will possess exceptional academic credentials, relevant law firm experience, and strong written and verbal communication skills.Duties:Collaborate with senior attorneys and clients to provide legal advice and guidance on technology-based mergers and acquisitions involving public companies.Conduct due diligence, draft and review transactional documents, and assist in negotiations to facilitate successful transactions.Analyze and provide counsel on securities laws, disclosure requirements, and compliance issues related to public company mergers and acquisitions.Support clients in structuring and executing complex technology-driven deals, ensuring legal and regulatory compliance.Assist with the preparation and submission of required regulatory filings and documentation.Stay updated on legal developments, industry trends, and emerging technologies relevant to the practice area.Provide legal research and support to senior attorneys on various technology-related legal matters.Requirements:3-4 years of relevant legal experience in a law firm setting.In-depth knowledge and experience in mergers and acquisitions transactions involving public companies.Proficiency in securities laws, disclosure requirements, and compliance issues for public companies.Excellent academic credentials, including a law degree from a reputable institution.Relevant Bar admission in the state of New York or eligibility to obtain admission promptly.Strong written and verbal communication skills, including the ability to convey complex legal concepts to clients and colleagues.Detail-oriented with exceptional analytical and problem-solving abilities.Ability to work collaboratively in a team environment and manage multiple tasks simultaneously.A strong commitment to maintaining the highest ethical and professional standards.Education:Juris Doctor (J.D.) degree from an accredited law school.Certifications:Admission to the New York State Bar or eligibility to obtain admission promptly.Skills:Mergers and acquisitions experience involving public companies.Proficiency in securities laws, disclosure, and compliance.Legal research and analysis.Strong written and verbal communication.Negotiation and due diligence skills.Technology industry knowledge is a plus.
